 The Polish Association for Public Administration Education, in cooperation with the Institute of Public Law at Faculty of Law at Rzeszow University, is pleased to announce and invite you for the 7th Annual Conference on “The efficiency of Local Government.”

This three-day seminar will take place on 21- 23 May in Sandomierz, Poland and will be conducted in English and Polish as well.

The main issue of the conference is to discuss and analyse all the factors that have an influence on the efficiency of local government.
During the conference the following workshops will be held:

1. Analysis the criteria and measurements determine the local government efficiency taking into account human resources management and development in public administration

2. Methods of execution of local government tasks in new social, economic and political conditions as well as an attempt of evaluation of legal problems relating to these issues.

3. Analysis of local government evolution in Europe.

Participants are kindly invited to present analytical papers either on the conference main theme or for a selected working group. All the conference papers will be published in the Conference Proceedings after selection.

Bylaw
Polish Association for Public Administration Education.
Adopted on June the 28 1999 in Bialystok.


Part I
General Provisions.

& 1

1. Association is known as Polish Association for Public Administration Education referred in this bylaw as Association.
2. Association is established under the authority of the Statute On Associations and is a voluntary non profit permanent organization uniting its members pursuing goals and objectives stated in this bylaw.

Association is national in scope with headquarters in Bialystok.

Association is a legal person

Association may establish local chapters in the manner prescribed by this bylaw.

Association has a logo and a seal with the full name of the organization.

Association carries its activities through voluntary work of its members and it may employ staff.

Part II
Goals and objectives of the Association

Association has an objective of fostering education and good practice in the field of public administration through activities designed to provide quality education and research in this field, and in particular:
1) supports development of educational programs in the field of public administration
2) Dissemination of new teaching methods
3) Activities de4signed to improve the quality of educational programs and establishment of acceptable criteria.
4) Organization and conduct of research aiming at improvement in quality of public administration in accordance with the standards of democratic countries.
5) Presents opinions and positions of the Association to the authorities.
6) Engages in activities promoting ethical standards of administering public affairs.

Association is accomplishing its goals through:
1) Creating conditions improving cooperation among institutions and persons who are its members.
2) Exchange of knowledge and information among members
3) Cooperation with other similar organisations domestically and internationally.
4) Cooperation with administrative agencies and NG0’s
5) Supporting members in their efforts to work jointly with administrative agencies
6) Raising funds
7) Organization of annual conferences, workshops and other meetings on the initiative of individuals and institutions.
8) Publishing activities
9) Other activities congruent with the goals of the Association.

1. Association is accomplishing its goals through close cooperation with interested persons and institutions.
2. Cooperation with practitioners in accomplishing goals of the Association in particular thorough joint activities in permanent commissions, sections and local chapters and exchange of experiences during annual conferences, workshops and other meetings.
3. Association supports students interested in the organization in pursuit of similar goals and to that effect exchanges information and knowledge.
4. Within the Association there can be established national chapters of international organisations with similar mission to that of the Association. The membership and participation in enterprises of this organisation or its national branch is held according to the principals lied down in the statute of the organisation as well as the statutes of the Association, unless the agreement or the resolution on the appointment of national chapter expressly otherwise stipulated.
5. Co-operation with state authorities in particular in the field of public administration and civil service and with the local selfgovernments. In particular Association can provide opinions, conduct joint research, conferences and engage in producing publications or periodicals.

Part III
Membership. Rights and duties.

Membership in the Association is open to persons accepting goals and activities of the Association.

1) There are the following categories of members: ordinary, supporting and honorary
2) Ordinary membership is open to Polish citizens and foreigners designated by institutions of higher learning in the field of public administration or persons involved in education in that field.
3) Institutions of higher learning are defined as ones providing studies leading to BA, MA or postgraduate studies in the field of public administration.
4) Persons representing institutions referred to in & 2 who are founders of the Association can become members after being designated by their institutions.
5) Unaffiliated individuals who were among the founding members acquire membership at the time that the Association is entered to the Registry of Associations.

6) Following registration membership is acquired by filing an application accompanied by a letter of recommendation by an ordinary member of the Association and a resolution of the Executive as to the acceptance of the application.

Associate membership is open to polish and foreign institutions involved in activities congruent with the objectives of the Association upon signing application form and declaring services in support of the Association's activities.

Honorary membership is open to polish and foreign legal entities or entities without juridical personality.

Honorary membership is bestowed by a resolution of the General Meeting on an individual or organization distinguished in the field of education or practice in public administration.

Ordinary members have right to:
1) Attend General Meetings with a right to vote
2) Vote for or run for offices of the Association
3) Access to Association’s funds in a manner prescribed by the Executive.
4) Take part in all activities of the Association.

Associate members have a right to:
1) Attend General Meetings without the right to vote
2) Take part in all activities of the Association.

Honorary members have a right to:
1) Attend General Meetings without the right to vote
2) Take part in all activities of the Association.

Ordinary members have the following duties:
• Act accordingly to the Association’s bylaws and Resolutions of its authorities.
• Support Association’s activities and promote the aims and objectives of the organization.
• Pay the dues as established by the General Meeting

Associate members have the following duties:
1) Act accordingly to the Association's bylaws and Resolutions of its authorities
2) Support Association’s activities and promote the aims and objectives of the organization.

Membership in the Association is extinguished by:
1) Written resignation accepted by a resolution of the Executive
2) By a resolution of the General Meeting by simple majority on recommendation of the Executive for dishonourable conduct or activities against the Association.
3) Non payment of dues for two consecutive years.
4) Loss of public rights.
5) Death.

Part IV
Offices of the Association

Association establishes the following offices:
1) General Meeting
2) Executive
3) Program Committee
4) Audit Commission

1) Members of the Executive and Program Committee are restricted to persons who are involved in activities within the ambit of the goals and objectives of the Association.
2) Individual can hold the same office from the ones referred to in &21 point 2-4 for only two consecutive terms.

1) General Meeting is the highest authority of the Association.
2). General Meeting has the following powers:
a. Election and dismissal of the Executive, Program Committee and Audit Commission.
b. Acceptance of the annual report of the Executive.
c. Acceptance of the program of activities planed by the Program Committee
d. Acceptance of the annual report of the Audit Committee.
e. Discussion and acceptance of the financial and substantive plans.
f. Acceptance of the rules governing conduct of committees.
g. Appeals from the decisions of the Executive.
h. Awards honorary memberships.
i. On the recommendation of the Executive awards Associations merits and other distinctions.
j. Changes to bylaws
k. Dissolution of the Association and related disposition of property.
l. Establishment of membership fees.

1. Chairperson of the Executive or member of the Executive designated by him /her chairs the General Meeting and signs resolutions of the Meeting.
2. Resolutions of the General Meetings require simple majority with at least half of the members of the Association present, with the exception of resolutions dissolving association or changing bylaws, which require two third majority with at least half of the members present. Quorum is required only when the meeting is called for the first time.
3. Votes are open unless the General Meeting calls for secret ballot. Voting for membership in committees is by secret ballot.

1. General Meetings is called for in an ordinary or special manner.
2. The Executive calls for ordinary General Meeting at least once a year.
3. The Executive can call for special General meeting at any time or by motion of the Audit Committee or by a notice of motion by at least one third of ordinary members.
4. If the Executive fails to call for a General Meeting in instances described in point 3 within 30 days from the notice Audit Committee has a power to call for a special meeting.
5. Notice about the date and place of the general meeting and agenda has to be delivered to ordinary members at least thirty days in advance.

Executive conducts Association's business and speaks on behalf of the Association.

1. The General Meeting from among the ordinary members elects the Executive.
2. Executive consist of five members elected for a term of 3 years.
3. General Meeting also elects two alternates to the Executive who take office upon death or resignation of member of the Executive in a predetermined order.
4. Executive determines place of its meetings.
5. Executive ordinarily meets once a month but at least once every 3-month.
6. A simple majority carries resolutions of the Executive with at least 3 members present. Chair has the tie-braking vote.
7. Circulated letter can pass resolutions. In such instance a report of the vote has to be submitted.
8. Objections to the resolutions of the Executive have to be submitted to the General Meeting in writing within 30 days of their passage.
9. Association is assisted in its work by an office headed by Director General of the Association.

1. Director General co-ordinates the work of the Association and supervises the office.
2. Director General is appointed by the Executive by its resolution
3. In consultation with the Executive Director General appoints staff and manages the work of the office.
4. Executive can by resolution authorise Director General to act on its behalf. In a manner described in articles & 30 point 1. And &42 point 5 of the bylaw.

Executive has the general powers of the Associations unless such powers are reserved for other offices of the Association as determined by the bylaw and in particular:
1. Speaks on behalf of the Association
2. Conducts business of the Association and manages the Association's property.
3. Prepares resolutions for the General Meeting
4. Establishes permanent and ad hoc committees
5. Make decisions as to provision of funds for sections, committees or local chapters on the basis of the Association's budget.
6. Decides as to the recipients of awards.

1. Chairperson of the Executive is elected by and from its members.
2. Vice chair is elected from and by the Executive and the Chairperson determines his / her duties.
3. Vice chair becomes an acting chair during incapacity o f the Chairperson

1. Chairperson or two members of the Executive have power of attorney on behalf of the Association within the ambit of &42 point 5 of the bylaw.
2. Chairperson is an employer within the meaning of the Labour Code.
3. Chair of the Program Committee can attend meetings of the Executive without the right to vote.

1.Program Committee consists of fourteen members elected by the General Meeting for 3-year term.
2. Program Committee has the power too:
a. Provide opinions on long term strategy of the Association
b. Provide opinion on the annual plans of activities prior to their approval by the General Meeting.
c. Develop fund raising plans.
d. Provide opinion on establishment of committees
e. Evaluate work of committee's and can bring a notice of motion as to their dissolution for consideration by the General meeting
f. Develop plans of international activities.
3.Resolutions of the Program Committee are passed by a simple majority.
4. Resolutions of the Program Committee can be passed by a vote through a circulated letter. In such case the record of vote shall be established.

1.Audit Committee consists of 3 members elected by the General Meeting from among ordinary members for a 3-year term.
2. Committee elects from its members Chairperson, Vice chair and Secretary.
3. Audit Committee meets at least twice a year at the call of the Chair or any other member.

1.Audit Committee:
a. Supervises and audits property and finances of the Association.
b. Prepares and submits to the General Meeting a report and motion as to the confidence in the Executive.
c. Can call a Special General Meeting

Chairperson or Vice chair of the Audit Committee has the right to attend meetings of the Executive without the right to vote.

Members of the Audit Committee cannot hold other office in the Association.

Part V
Organisational principles of committees, sections and local chapters.

1. In persuit of its goals and objectives Association establishes :
a. committees
b. sections
c. local chapters
2. Establishment or dissolution of such bodies takes form of a resolution of the Executive upon prior opinion of the Program Committee.
3. Establishment of sections my depend on interested members declaring financial support for activities of the section.

1. Committees are established in pursuit of the goals and objectives of the Association. Association my establish permanent committee's and in particular
- Committee on standards for educational programs
- Committee on teaching methods
- Committee on accreditation
- Publishing committee
- Research committee
- Fund raising committee
- International Co-opertion committee
- Committee on Cooperation with student bodies
2. Association my establish ad hoc committees and in particular for the purpose of organisation of annual conferences and others.

Members my bring a notice of motion to establish a section. Executive determines scope, rules etc. of such sections.

1.Local chapter's can be established in eras in which there are at least 15 members.
2. Local chapters don't have juridical personality, act independently and are supervised by the Executive and Audit Committee.

1. Local chapters pursue goals and objectives of the Association in a scope, which they determine.
2. Local chapters determine their own rules of conduct congruent with the rules of the Association.

The Executive of Local Chapters consist of :
a. Chairperson
b. Two members.
3. Chairperson or other person authorised by the Executive represents the Local Chapter before the Association.

Part VI
Property and finances of the Association.

&42

Property of the Association can be used exclusively for the purpose of the realisation of the goals of the organisation.
Assets of the Association consist off:
1. Real estate and other property owned by the Association.
2. Financial assets
3. Sources of assets :
a. membership fees
b. gifts
c. grants
d. Income from profit making activities.
e. Income from stock
f. Monies provided by other domestic and foreign organisations for co-operative projects.
4. Executive manages Association's assets.
5. Decisions involving disposing of monies or other assets over 10000 PLN can be made only upon resolution of the Executive and have to be co-signed by two of its members including the Chairperson.
6. Executive adopts by a resolution annual financial report to be submitted to the appropriate authorities.
Executive also approves other financial decisions.

1. Association can engage in business activities to finance its activities.
2. Association my create corporations or enter into other corporations.

Part VII

Other matters.

&44.

1.Change of the Association's bylaw requires resolution of the General Meeting by two third majority with at least half of the ordinary members present.
2. The Executive or at least fifteen ordinary members can submit notice of motion as to the change in bylaw in writing.

1. Dissolution of the Association requires resolution of the General Meeting by two third majority with at least half of the ordinary members present.
2. Resolution should appoint a probator and contain decision as to the disposition of assets .
